1. About these Service Terms
These Service Terms govern every paid engagement between Pixidion and a client. They cover scope, payment, intellectual property, cancellation, liability, and the standing rules that apply to every Pixidion engagement — whether it’s a single à-la-carte piece, a multi-deliverable by-project SOW, or an ongoing monthly retainer.

Pixidion is the trading name (DBA) of Ivan Ortega, a sole proprietor operating from Las Vegas, Nevada, United States.

2. How an engagement works
Every Pixidion engagement runs through three documents:
- A signed quote, SOW, or Retainer Agreement — defines the specific work, deliverables, timeline, and fee for that engagement.
- These Service Terms — the standing rules that apply across every engagement. The signed engagement document incorporates these Terms by reference.
- (Optional) An NDA — a one-way confidentiality agreement, signed before any sensitive material is shared. Mutual NDAs available on request.
An engagement begins when both parties electronically sign (via Square eSignature or equivalent) the quote, SOW, or Retainer Agreement and Pixidion receives the deposit (à-la-carte and by-project) or first month’s payment (retainers).
Authority to bind. By signing a quote, SOW, or Retainer Agreement, the signatory represents and warrants that they have authority to bind the entity named on that document, and that the entity will be bound by these Terms and the engagement-specific agreement.
3. Services offered
Pixidion provides graphic design services across four formats:
- À la carte — single-piece work, quoted per piece ($180–$375 typical). 1–3 business days.
- By project — scoped multi-deliverable engagements, fixed price ($800+). Defined in a Statement of Work.
- Retainer — monthly subscription for ongoing design work. Three tiers: Standard ($900/mo, 10 hrs), Pro Hours ($1,500+/mo, 20+ hrs at discounted rate), Pro Flat Rate ($1,800/mo, unlimited requests, one active at a time, unlimited revisions).
- Creative Consultant — advisory and direction engagements, surfaced when retainer is at capacity ($120–$250/hr).
The prices above reflect Pixidion’s current public pricing and are provided for reference only. The binding fee for any engagement is the amount stated in the signed quote, SOW, or Retainer Agreement for that engagement. Specific scope, deliverables, and timelines are also agreed in writing before work begins.
4. Quotes and engagement
- All quotes are valid for 30 days from issuance unless otherwise stated.
- An engagement begins when both parties electronically sign the quote, SOW, or Retainer Agreement and Pixidion receives the deposit (à-la-carte and by-project) or first month’s payment (retainers).
- A signed quote constitutes a binding agreement for the scope and price stated, governed by these Service Terms.
5. Payment terms
À la carte and by-project work
- Non-refundable 50% deposit due on quote approval. The deposit secures Pixidion’s calendar and funds research, planning, soft-brand groundwork, and project setup that begins immediately. There is no grace period.
- 50% balance due on delivery of final files.
Retainer work
- Billed in full at the start of each monthly cycle, due on receipt.
- Pixidion continues retainer work for the first 7 days of each cycle pending payment. If payment is not received by day 7, work pauses immediately and resumes once payment is received. The cycle’s billing date does not shift to accommodate late payment.
- Tier and contract changes take effect at the start of the next billing cycle.
Methods
- All invoices are issued through Square. Payment methods: ACH, credit card, Apple Pay, Cash App, Venmo, Zelle. No checks.
- Invoices include applicable Nevada state sales tax.
Late payment
Pixidion does not charge late fees. Active retainer or project work is paused when invoices go past due, and resumes once outstanding balances are settled. No collections, no penalties — just a pause until things are even.
Loyalty / contract ladder
After 3 consecutive paid months on any retainer (or as a new client signing onto a contract from day one), clients may choose a 3-, 6-, or 12-month contract for a discount:

Early termination of contracts. Contract clients (3-, 6-, or 12-month) who cancel before the contract ends pay the difference between the contracted (discounted) rate and the standard month-to-month rate for months already used. No further obligation.
Re-entry. A client who cancels and returns within 6 months has prior consecutive months counted toward the 3-month threshold. After 6 months away, the count resets.
Hours don’t roll over. Each retainer month resets fresh.
6. Scope, revisions, and changes
- Project scope and included revision rounds are defined in the quote, SOW, or Retainer Agreement.
- Revisions beyond the agreed rounds, or scope changes (new deliverables, expanded brief, additional rounds), become a separate quote, approved in writing before extra work begins.
- Pixidion reserves the right to decline scope changes that fundamentally alter the original engagement.
Quarter-hour billing (retainer hours)
For hours-based retainer tiers (Standard, Pro Hours), time is billed in quarter-hour increments:
- 0.25 hour (15 minutes)
- 0.5 hour (30 minutes)
- 0.75 hour (45 minutes)
- 1.0 hour (60 minutes)
Tasks shorter than 15 minutes — including individual emails — accumulate until they reach the next quarter-hour increment, which is then billed. Example: a 5-minute email + a 4-minute email + a 6-minute email = 15 minutes = 0.25 hour billed.
Overage rates
- Standard tier overage: $99/hour
- Pro tier overage: $80/hour
- Overage hours require written approval before work begins.
Pro Flat Rate — what counts as a request
A request is one design task at typical graphic-design scope. Examples that count as a single request:
- A social-post set (up to 4 posts)
- A one-page flyer
- A logo iteration
- A one-page menu
- A single ad creative
- A brochure spread
Examples that don’t count as a single request and are converted to a separate by-project SOW so they don’t monopolize the queue:
- Multi-page documents (decks, brochures over 4 pages, magazines)
- Full brand identity packages (logo + system + collateral)
- Trade-show booth design
- Print campaigns spanning multiple deliverables
Rush work
Tight-turnaround work is quoted with a 25–50% rush premium, agreed at intake. Mark “ASAP / rush” on the contact form or quote request and Pixidion will confirm feasibility before quoting.
7. Cancellation and refunds
À la carte and by-project work
- The 50% deposit is fully non-refundable. It secures Pixidion’s calendar and funds the research, planning, soft-brand groundwork, and project setup that begins immediately upon quote approval. There is no grace period.
- If the Client cancels mid-engagement, work completed to that point is delivered upon settlement of the final invoice. The deposit is not refunded. Intellectual property in any partial work transfers per §8 — only upon settlement of the final invoice for the work delivered.
- Pixidion reserves the right to cancel an engagement if the Client breaches these Terms (non-payment, unauthorized use, harassment), in which case completed work is delivered upon final payment.
Retainer work
Cancel at any time. Month-to-month retainers can be canceled by emailing notice to admin@pixidion.com.
- To avoid being billed for the next monthly cycle, cancellation must be received at least 7 days before the next billing date.
- Cancellations received with fewer than 7 days remaining take effect at the end of the following cycle, which will be billed in full.
- Contract clients (3/6/12-month) can also cancel at any time per the early-termination terms in §5.
- Upon cancellation, work completed to that point is delivered upon settlement of any outstanding balance.
Pixidion’s inability to perform
If Pixidion is unable to complete an engagement due to circumstances beyond reasonable control (illness, accident, natural disaster, family emergency), Pixidion will notify the Client promptly. Work completed to that point is delivered, and the deposit (or pro-rata portion of any retainer cycle paid in advance) is refunded pro rata for work not yet performed.
8. Intellectual property
Final delivered work
- IP transfer is conditional on full payment — not automatic upon creation. Once Pixidion has received the final invoice in full, the Client receives full ownership rights to the final delivered work and may use it for sales, marketing, advertising, or any other lawful purpose. Until full payment is received, all work remains the property of Pixidion.
Pixidion’s promotional rights
- Even after IP transfer, Pixidion retains a non-exclusive perpetual right to edit, modify, redact, and re-purpose the delivered work for the purpose of promoting Pixidion’s own studio practice — in Pixidion’s portfolio, on pixidion.com, in printed or digital advertising, on social media, and in awards / festival submissions.
- Editing for promotional use specifically includes — without limitation — modifying copy, text, headlines, taglines, QR codes, URLs, links, layout, color, typography, photography, and any other design element so that the promotional piece reflects Pixidion rather than the Client. Concrete example: if the original design contains a QR code or link directing customers to the Client’s website, Pixidion may replace that QR code or link with one pointing to Pixidion’s website when the design is used in Pixidion’s portfolio, ads, or social posts.
- These promotional rights are strictly for Pixidion’s self-promotion. Pixidion will not use the original or edited work to promote, advertise, or campaign on behalf of the Client’s business, products, or services without a separate written agreement.
- These promotional rights may be modified or excluded by a separate written NDA before work begins.
Source files
- Source files (.ai, .psd, .indd, .ae, etc.) are working assets — Pixidion’s intellectual property, separate from the final deliverable.
- Clients pay for the finished, usable product (PDF, JPG, PNG, GIF, packaged file), not the working files used to create it.
- Source files are released only upon final, full payment AND on the Client’s request — at no additional charge for by-project and retainer work. By default, the Client receives final deliverables only (.jpg, .png, .gif, .pdf).
- À la carte source files may not be transferable when the original assets were created by a previous designer; this is noted on the quote when applicable.
Client-originated working files
When the Client provides their own working files (e.g., an existing .ai or .psd from a previous designer), those files remain the Client’s property. Pixidion edits and adjusts as the engagement requires but does not claim IP over Client-originated working files. If Pixidion has to redevelop or recreate working files because the Client doesn’t have them, the redeveloped files are Pixidion’s IP and follow the source-file rules above.
Pre-existing assets and third-party materials
- The Client warrants that any assets, content, or references they provide (logos, photography, copy, fonts, etc.) are owned or properly licensed by them.
- Pixidion is not responsible for legal claims arising from Client-provided materials.
- Pixidion will indicate in writing if any Client-provided material appears to raise IP concerns; the Client is responsible for clearing any third-party rights before use.
- Pixidion may use licensed stock assets (fonts, photography, illustrations) in projects; license costs are passed through transparently.
9. Confidentiality
- Pixidion treats Client briefs, business information, and unreleased creative as confidential.
- NDAs are signed when requested before work begins. A one-way NDA (Client → Pixidion) is the default; mutual NDAs are available on request.
- Subcontractors and advisors. Pixidion may share Confidential Information with subcontractors or advisors (e.g., a print vendor, photographer, or copywriter brought on for a multi-vendor project) strictly as needed to perform the engagement, provided they are bound by equivalent confidentiality obligations.
- Confidentiality obligations survive the end of the engagement.
10. Files and archive
- Final delivered files are archived for 1 year from delivery date. Source files (when previously released) follow the same window.
- Past clients may request a re-download of their final files at any point during that window.
- After the 1-year window, Pixidion may delete archived files without further notice. Clients are responsible for maintaining their own backups of final delivered files.
- Pixidion is not responsible for client failure to back up delivered files.
11. Warranties and limitations
- Pixidion provides services with reasonable care and skill consistent with industry standards.
- Pixidion does not guarantee that the work will achieve specific commercial outcomes (sales, conversions, brand recognition, etc.) — those depend on factors outside design alone.
- The services are provided “as is” without warranties of any kind, except where prohibited by Nevada law.
12. Limitation of liability
To the maximum extent permitted by Nevada law, Pixidion’s total liability for any claim arising from these Service Terms or any engagement shall not exceed the lesser of (a) $5,000 or (b) the total fees paid by the Client to Pixidion for the specific engagement giving rise to the claim. Pixidion is not liable for indirect, incidental, or consequential damages (lost profits, lost data, business interruption, etc.).
13. Indemnification
The Client agrees to indemnify and hold Pixidion harmless from any claims arising from:
- Materials, content, or instructions the Client provided.
- The Client’s use of delivered work in violation of laws or third-party rights.
- The Client’s breach of these Service Terms.
14. Governing law and disputes
- These Service Terms are governed by the laws of the State of Nevada.
- Disputes shall be resolved first by good-faith negotiation.
- If negotiation does not resolve the dispute within thirty (30) days, either party may propose non-binding mediation before a mutually agreed mediator in Clark County, Nevada (in person or by videoconference), with the mediator’s fees shared equally. Mediation is optional — it proceeds only if both parties agree, and neither proposing nor declining it limits or delays either party’s right to bring the dispute to court.
- Disputes not resolved by negotiation (or by mediation, where both parties elect it) shall be brought in the state or federal courts located in Clark County, Nevada.
- The prevailing party in any legal action is entitled to recover reasonable attorney’s fees.
15. Notice
Formal notices to Pixidion may be sent by email to admin@pixidion.com. General business correspondence: hello@pixidion.com. Automated / system mail (invoices, receipts): noreply@pixidion.com. Notices to the Client may be sent to the email address on file with their most recent quote or invoice. Notices are deemed received one (1) business day after sending.
16. Severability
If any provision of these Service Terms is held unenforceable, the remaining provisions remain in full effect.
17. Entire agreement
These Service Terms, together with any signed quote, SOW, or Retainer Agreement, constitute the entire agreement between the parties on the subject matter, superseding any prior or contemporaneous understandings, written or oral.
18. Assignment
The Client may not assign or transfer rights or obligations under these Service Terms without Pixidion’s written consent. Pixidion may assign these Service Terms to a successor entity, including the conversion of the sole proprietorship to a different business form (e.g., LLC formation).
19. Changes to these Service Terms
Pixidion may update these Service Terms as the business evolves. Material changes will be noted with an updated “Last updated” date at the top, and active clients on a current engagement will be notified by email. Changes to these Service Terms do not apply retroactively to engagements already in progress under a prior version — those continue under the version in force at the time of engagement.
